Program Overview
ShiftMed desires to establish a referral program for any qualified person to bring active and verified Registered Nurses (“RNs”) (“Referee”) onto the ShiftMed Platform. RNs referring RNs (“Referrer”) are eligible to receive a bonus for referring qualified RNs to work RN shifts in the defined eligible areas, or as otherwise permitted by ShiftMed. Referees who meet the program requirements are also eligible to receive a bonus.
The referral program will commence on or about December 1, 2025 and end on March 31, 2026. Any referrals not made within this timeframe will not be considered or eligible for payment.
Referrer Eligibility Criteria
A Referrer must meet the following criteria to be eligible to receive a bonus:
A resident of the United States;
A valid mailing address within an eligible MSA (outlined below);
A valid email address;
A valid phone number;
A verified RN license;
Must not be subject to any disciplinary action on behalf of ShiftMed or one of its client facilities;
Must have an active, unencumbered RN license; and
Must be in active status (i.e. not suspended or terminated) at the time the referral is paid.
Referee Eligibility Criteria
The Referee must meet the following criteria to be eligible to receive a bonus under the program:
Referee must not be a current or onboarding RN with ShiftMed and not already active with a Shiftmed account;
Must have an active, unencumbered RN license;
Must not be subject to any disciplinary action on behalf of ShiftMed or one of its client facilities.
Must be in active status (i.e. not suspended or terminated) at the time the referral is paid.

Program Referral Bonus Offer
Referees and Referrers meeting the criteria for this program may be eligible to receive a bonus in the following amounts:
Both the Referrer and the Referee will each receive a bonus of $250, less any applicable taxes.
Program Procedures
An eligible RN must be the first person to refer a new RN via the ShiftMed application (“app”). There will be an in-app prompt in the menu of the app to invite qualified RNs. The Referrer must provide all required information, including the Referee’s phone number to be invited to the app.
The Referee must opt-in to the ShiftMed messaging via the initial text message to receive the invitation link.
The form information of the Referees will be securely stored on ShiftMed servers. The Referees may receive communications from ShiftMed’s marketing team, notifying the candidate of the referral.
The Referees will be prompted to download the ShiftMed app, create an account, and begin the onboarding process. The Referee must complete all the requirements to receive the orientation credential which vary by facility, but generally are to successfully work all orientation shift(s) and upload all orientation documentation and related credentials to be cleared by the facility to claim non-orientation shifts.
The Referee must complete the requirements no later than May 15, 2026.
As long as the Referrer remains in active status, the Referrer will be paid via direct deposit (if set up or by check on the payroll period following the Referee’s completion of the referral program requirements as outlined above. If the Referrer is in onboarding status, the Referrer will only be paid upon completion of receiving the orientation credential requirements.

Termination of the Referral Program
ShiftMed reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Referral Program, or to withhold payment of the referral bonus for any reason. ShiftMed also has the right, in its sole discretion, to maintain the integrity of the Referral Program, to void or cancel a Referring HCP employee’s participation in the program and eligibility for a Bonus for any reason, including, but not limited to: fraud, violation of these Terms, or the use of bots, macros, scripts, or other technical means to conduct Referral Activities.
ShiftMed may terminate the program at any time, effective immediately, in the event of an actual or proposed change in any applicable law would render this program commercially unreasonable in ShiftMed’s judgment.
