SPONSOR: ShiftMed, LLC located at 7925 Jones Branch Drive, Suite 1100, McLean, VA 22102 (the “Sponsor”).

DATES: The “ShiftMed Seasonal Shift Showdown” (the “Sweepstakes”) begins at 12:00 a.m. Eastern Time (“ET”) on July 1, 2025 and ends at 11:59 p.m. Eastern Time (“ET”) on September 30, 2025, reoccurring in this fashion on a quarterly basis at the Sponsor’s discretion (the “Sweepstakes Period”). For these Official Rules, all times are given in ET. The date and time stamp from the Sponsor’s employee application (“App”) will be the official time keeping device for this Sweepstakes.

ELIGIBILITY: The Sweepstakes is open to Platinum Tier and Pro Tier ShiftMed employees who are active and in good standing as of 11:59 p.m. ET on the final day of the Sweepstakes Period. To attain Platinum or Pro Tier status, employees must have worked at least four (4) shifts while maintaining a show rate of at least 30% (Pro Tier) or at least 70% (Platinum Tier). Tier level does not alter an employee’s odds of winning. Additionally, employees must be a permanent legal resident of one of the fifty (50) United States and the District of Columbia, and at least eighteen (18) years of age or older at the time of entry. Eligible employees will be hereinafter referred to as “Entrant(s).”

SWEEPSTAKES IS NOT OPEN TO THE GENERAL PUBLIC. An Entrant who is selected as a potential prize winner (“Prize Winner”) must be authorized to work in the United States. Corporate employees of Sponsor and their immediate family members (parents, children, siblings or spouse, regardless of where they live, or persons living in the same household, whether related or not), and each of Sponsor’s respective parent companies, divisions, affiliates, subsidiaries, distributors, advertising and agencies, and any others engaged in the development, production, execution or distribution of this Sweepstakes (all of the aforementioned collectively referred to as the “Sweepstakes Entities”), are not eligible to participate. The Sweepstakes is subject to all federal, state, and local laws and regulations and is void outside the fifty (50) United States and the District of Columbia, and wherever else restricted or prohibited by law. By entering this Sweepstakes, Entrants indicate their full and unconditional agreement to, and acceptance of, these Official Rules and the decisions of the Sponsor, which are final and binding in all respects. Winning a Prize is contingent upon fulfilling all requirements set forth herein. The ShiftMed Shift Showdown Sweepstakes is unavailable in the State of California.

HOW TO ENTER: There are two (2) ways to enter the Sweepstakes. Regardless of the method(s) used to enter, there is a limit of ninety (90) entries per Entrant during each round of the Sweepstakes Period.

Multiple entries submitted by a single Entrant in the same envelope or exceeding the entry limit above will not be considered eligible. Entries submitted or completed by anyone other than the Entrant are void. No mechanical reproductions will be accepted. Sponsor will not verify receipt of entries for Entries. All entries submitted by mail become the sole property of the Sponsor and will not be returned. Sponsor is not responsible for lost, late, misdirected, illegible, or damaged mailed entries.

Entry information becomes the property of Sponsor and will not be acknowledged or returned. Entries will be disqualified if they are late, incomplete and/or in excess of the stated entry limits. Any entries attempted through the use of agencies or robotic, repetitive, automatic, programmed or similar methods other than the entrant will be void. Sponsor is not responsible for lost, late, misdirected, illegible, or damaged mailed entries.

In the event of a dispute regarding the identity of the person who received entry, the entry will be deemed submitted by the Authorized Account Holder (defined below) of the e-mail address connected with the email account registered with the App. “Authorized Account Holder” is defined as the natural person who is assigned to an e-mail address by the Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. An Entrant may be requested to provide Sponsor with proof that the Entrant is the Authorized Account Holder of the email address associated with the entry. Any attempt by any Entrant to enter this Sweepstakes using multiple/different accounts or any other methods may void the Entrant’s entries and may result in disqualification, at the sole discretion of Sponsor. Use of any automated system to participate in the Sweepstakes is prohibited and may result in disqualification. The Sweepstakes Entities are not responsible for any entry that is lost, late, misdirected or undeliverable, whether due to system errors, omissions, interruptions, deletions, defects, delays in operation or transmissions or any other reason, theft or destruction or failures, faulty transmissions or other telecommunication malfunctions, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, technical malfunctions, or otherwise. Late entries or entries sent via any other method than those stated above will not be accepted.

WINNING/NOTIFICATION: On the first day of the month following each Sweepstakes Period, the Sponsor will select one (1) winner from among the eligible entries received during the Period. The Prize Winner will be chosen at random, and contacted with further details via SMS and the email address that the Sponsor has on record. If a Prize Winner cannot be reached by the Sponsor within seven (7) business days, or if the prize is returned as undeliverable, that Winner will forfeit the prize and the Sponsor will select an Alternative Winner at random.

All Alternative Winners are subject to the same conditions as above. If the Alternative Winner cannot be contacted, the Company will choose a Second Alternative Winner at random. If the Second Alternative Winner cannot be contacted, the prize for that Sweepstakes Period will not be distributed.

ENTRANTS ARE LIMITED TO ONE (1) PRIZE PER PERSON, PER PERIOD. AN INDIVIDUAL IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL SPONSOR HAS COMPLETED ITS VERIFICATION OF INDIVIDUAL’S ELIGIBILITY.

PRIZE CLAIMS: Except where prohibited, a potential Prize Winner will be required to complete, execute and return an Affidavit of Eligibility, Liability and Publicity Release (the “Release”), if necessary, and any other documents required by Sponsor, (collectively, the “Required Documents”) within seven (7) days or less from receipt of Notification from the Sponsor by email. If a potential Prize Winner fails to return the Required Documents within the time-period required, or if the email is returned as undeliverable, such potential Prize Winner forfeits his/her right to the Prize and an alternate will be notified as outlined in the “WINNING/NOTIFICATION” section above, even if the disqualified potential Prize Winner’s name may have been publicly announced. Potential Prize Winners must report income to the Internal Revenue Service. If it is determined by the Sponsor, in its sole discretion, that a potential Prize Winner is not eligible or otherwise not in compliance with these Official Rules, a potential Prize Winner forfeits his/her right to a Prize and an alternate will be notified as outlined in the “WINNING/NOTIFICATION” section above, even if the disqualified potential Prize Winner’s name may have been publicly announced. In the event that a potential Prize Winner is disqualified for any reason, Sponsor shall have no liability or obligation to such individual.

PRIZE: The Winner will receive $5,000 USD, paid out as a bonus on the next scheduled payday. The Prize will be delivered via direct deposit into the winner’s account. Sponsor makes no representations or warranties with respect to the potential benefits or outcomes to any prize winner with respect to the Prize. Prize Winners may not assign or transfer the Prize to another person. No Prize substitution, exchanges, redemptions, transfers or changes are allowed, except at the sole and absolute discretion of Sponsor. If the advertised Prize cannot be awarded due to circumstances beyond the control of Sponsor, a substitute prize may be awarded; provided, however, that if the Prize is awarded but unclaimed/forfeited by a Prize Winner, such Prize may not be re-awarded, unless in Sponsor’s sole and absolute discretion. Prizes will only be awarded if properly claimed according to these Official Rules.

GENERAL RULES OF PARTICIPATION: By participating in this Sweepstakes, Entrants and Prize Winners release each and all of the Sweepstakes Entities, from any and all liability, damages or causes of action (however named or described) with respect to or arising out of participation in the Sweepstakes, and/or the receipt or use/misuse of the Prize awarded, including, without limitation, liability for personal injury, death or property damage; and [b] agree to be bound by these Official Rules and the decisions of the Sponsor, which are final in all respects and not subject to appeal. Sponsor reserves the right permanently to disqualify from this Sweepstakes any Entrant or Prize Winner it believes has violated these Official Rules. Sponsor may prohibit an Entrant from participating in the Sweepstakes or winning the Prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other Entrants, Sponsor, or Sweepstakes Entities. If for any reason this Sweepstakes is not able to be conducted as planned, including, but not limited to, by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud or any other causes beyond the reasonable control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes and select a Prize Winner based on the entries received up to the cancellation, modification, termination, or suspension date. Notification of such action will be provided within the App. To the fullest extent permitted by law, Entrant’s covenant not to sue any Sweepstakes Entity or cause them to be sued regarding any matter released above; and further covenant not to disaffirm, limit or rescind any releases. A waiver by one or more of the Sweepstakes Entities of any term in these Official Rules does not constitute a waiver of any other provision. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. SPONSOR'S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THESE PROVISIONS.

CONDUCT: BY ENTERING AND PARTICIPATING IN THIS SWEEPSTAKES, YOU: (A) FULLY AND UNCONDITIONALLY AGREE TO BE BOUND BY THESE OFFICIAL RULES AND BY ALL DECISIONS OF SPONSOR (WHICH DECISIONS SHALL BE FINAL AND BINDING IN ALL RESPECTS), INCLUDING WITHOUT LIMITATION DECISIONS REGARDING ELIGIBILITY, WINNERS AND THE INTERPRETATION OF TERMS USED IN THESE OFFICIAL RULES; (B) REPRESENT AND WARRANT THAT ALL INFORMATION PROVIDED BY YOU IN CONNECTION WITH THE SWEEPSTAKES IS TRUE, ACCURATE AND COMPLETE; AND (C) AGREE TO COMPLY WITH ALL FEDERAL, STATE, LOCAL, TERRITORIAL AND PROVINCIAL LAWS AND REGULATIONS. SPONSOR RESERVES THE RIGHT, AT ANY TIME AND AT ITS SOLE DISCRETION, TO DISQUALIFY AND/OR DEEM INELIGIBLE TO PARTICIPATE IN THIS SWEEPSTAKES OR ANY FUTURE SPONSOR PROMOTIONS, ANY INDIVIDUAL IT SUSPECTS: (A) TO BE TAMPERING WITH THE ENTRY PROCESS OR THE OPERATION OF THE SWEEPSTAKES OR ANY WEBSITE; (B) TO BE ACTING IN VIOLATION OF THE OFFICIAL RULES OR SPONSOR’S PRIVACY POLICY OR OTHER TERMS, CONDITIONS OR GUIDELINES; (C) TO BE ACTING IN BAD FAITH OR IN A DISRUPTIVE MANNER, OR WITH THE INTENT TO ANNOY, ABUSE, THREATEN OR HARASS ANY OTHER PERSON; (D) TO HAVE FAILED TO AGREE TO THESE OFFICIAL RULES; OR (E) TO BE IN VIOLATION OF THESE OFFICIAL RULES. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY INTERNET SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF THESE OFFICIAL RULES AS WELL AS CRIMINAL AND CIVIL LAWS. SHOULD SPONSOR BELIEVE OR BECOME AWARE THAT SUCH AN ATTEMPT HAS BEEN, IS BEING, OR WILL BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY RESPONSIBLE ENTRANT(S) AND OTHER RESPONSIBLE INDIVIDUAL(S) IN THE ATTEMPTED DAMAGE TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING WITHOUT LIMITATION CRIMINAL PROSECUTION.

NO LIABILITY: By participating, Entrants and Prize Winners agree to release, discharge, indemnify and hold harmless the Sponsor, and the Sweepstakes Entities, and each of their respective officers, directors, employees, representatives and agents from and against any claims made by the a Prize Winner, Entrants, or any other third parties, related in any way to the operation of this Sweepstakes as well as any other claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from receipt, acceptance, possession, misuse or use of a Prize or receipt of entries; participation in any Sweepstakes-related activity; or participation in this Sweepstakes.

WAGES/TAXES: As an Employee of Sponsor, prizes earned or awarded under this Sweepstakes will be considered wages paid by Sponsor to the winning Employee(s) and subject to any corresponding withholdings. Winning Employees are solely responsible for all applicable federal, state, or other tax obligations related to the prizes. Accordingly, any amounts won under this Sweepstakes will be paid as wages to the winning Employee(s), net of all applicable tax and other standard withholds.

DISPUTES: Entrants agree that any and all disputes, claims, and causes of action arising out of, or connected with, the Sweepstakes or the Prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Virginia. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, an Entrant’s rights and obligations, or the rights and obligations of Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of Virginia, without giving effect to any choice of law or conflict of law rules (whether of Virginia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than Virginia.

PRIVACY: The collection of personal information provided in connection with this Sweepstakes will be used in accordance with the Sponsor’s privacy policy located online at: https://www.shiftmed.com/privacy/

PUBLICITY RIGHTS: By accepting the Prize, each Prize Winner agrees to allow the Sponsor the perpetual right to use their name, address (city and state), biographical information, likeness, picture, video and other information and content provided in connection with the Sweepstakes for promotion, trade, commercial, advertising and publicity purposes in all media worldwide including, but not limited to, on television and the Internet, without notice, review, or approval and without additional compensation, except where prohibited by law.

WINNER’S LIST REQUEST: For the name of the Prize Winners or a copy of these Official Rules, please submit a self-addressed, stamped envelope by September 30, 2025, to “ShiftMed Quarterly Shift Showdown”, 7925 Jones Branch Drive, Suite 1100, McLean, VA 22102.

This Sweepstakes shall not be published without permission of the Sponsor.
